ENDLESS FLORALS

Preservation Services Purchase Agreement & Terms and Conditions

Effective date: September 5, 2026

By placing an order with Endless Florals (the “Company,” “Endless Florals,” “we,” “us,” or “our”), you (the “Customer” or “you”) enter into a legally binding agreement for custom floral-preservation services and handcrafted artwork. These Terms apply to the order confirmation, invoice, approved changes, and any written product-specific instructions accepted by Endless Florals (collectively, the “Order”).

Please read these Terms carefully before purchasing. By completing your purchase, you confirm that you have read, understood, and agreed to them.


1. Nature of the Product — Commissioned Artwork

Endless Florals creates one-of-a-kind artwork using real flowers, botanical materials, resin, frames, glass, and other display materials. Because natural materials and handcrafted processes are involved:

  • Exact duplication of the original bouquet is not possible.

  • Natural variations and changes will occur.

  • Each finished piece will be unique.

  • Artistic interpretation and professional judgment are part of the service.

You acknowledge that you are commissioning original artwork—not purchasing a mass-produced replica or an exact reconstruction of fresh flowers.

2. Artistic Interpretation and Custom-Art Acceptance

Endless Florals retains reasonable artistic discretion over flower selection, placement, composition, orientation, spacing, background and framing presentation, resin depth and layering, and color-enhancement decisions, subject to the product and customization choices stated in the Order.

We aim to honor the overall character of your bouquet and any reference images you provide, but the finished artwork will not be an exact replica of the bouquet, a mockup, an inspiration image, a website photograph, or another customer’s piece.

Subjective dissatisfaction with the appearance, composition, flower placement, preserved color, artistic interpretation, or overall aesthetic of a piece does not, by itself, constitute defective workmanship, breach of contract, failure to perform, or grounds for a refund, replacement, chargeback, or monetary compensation.

A materially incorrect product or an objectively correctable workmanship issue is addressed under Section 17. Nothing in this section limits any right or remedy that cannot legally be waived.

3. Natural Changes in Flowers

Flowers naturally change during shipment, drying, preservation, design, and aging. Changes may include:

  • Darkening, fading, browning, or other color shifts

  • Whites becoming ivory, cream, beige, or translucent

  • Reds becoming deeper or burgundy

  • Bruising becoming more visible

  • Translucent spots, curling, shrinkage, flattening, or loss of shape

  • Fragility, cracking, or loss of petals or small botanical particles

Different varieties—and different flowers within the same bouquet—preserve differently. These natural transformations are inherent to floral preservation and are not defects.

4. Flower Condition Upon Arrival and Intake Documentation

Flowers will be preserved in substantially the condition in which they are received. Endless Florals cannot reverse deterioration, bruising, wilting, browning, mold, rot, breakage, or other damage that occurred before receipt.

We may photograph or otherwise document the package and contents during intake. These records may be used to document arrival condition and resolve questions about pre-existing damage or deterioration.

Fresh or previously dried flowers may continue to deteriorate, reveal hidden bruising, develop mold, or become structurally weak during preservation despite reasonable care. By submitting previously dried, damaged, aged, treated, painted, or chemically exposed flowers, you accept the additional risks associated with their condition.

If we determine that some or all materials are unsafe or unsuitable to preserve, we may decline those materials, substitute suitable materials only with your written permission, modify the design with available usable materials, or cancel the affected portion of the Order. Any refund or credit, if applicable, will reflect work performed, materials used or committed, and the portion of the Order that cannot be completed, except where applicable law requires otherwise.

5. Shipping or Delivering Flowers to Endless Florals

You are responsible for timely and proper packaging, labeling, shipment or delivery of your flowers, all inbound shipping costs, and following our current shipping instructions.

Risk of loss, theft, delay, misdelivery, weather exposure, and transit damage remains with you until the materials are physically received and accepted by Endless Florals. We are not responsible for carrier performance or for deterioration caused or worsened during transit.

6. Color Restoration and Enhancement

Any coloring or restoration performed by Endless Florals is an artistic enhancement, not a guarantee that a flower can be returned to its exact fresh or original color. Results vary based on variety, age, condition, prior treatment, bruising, moisture, and the preservation method.

Differences in hue, saturation, tone, shading, coverage, and consistency—including differences visible between petals or flowers—are not defects when they result from natural materials or reasonable artistic application.

7. Resin Characteristics and Long-Term Aging

Resin is a chemical material that changes over time. Even under appropriate display conditions, resin may gradually yellow or develop a warmer tone; flowers may fade, brown, soften, or become brittle; and small botanical particles may loosen or shift.

Handcrafted resin artwork may also contain minor bubbles, curing lines, waves, surface distortions, texture variations, reflections, slight pooling, pressure reactions, or subtle internal movement. These effects may be more noticeable around photographs, invitations, paper goods, pressed flowers, fabric, or other layered materials.

We use professional materials and quality-control practices, but we do not guarantee permanent color retention, indefinite resin clarity, or complete elimination of minor handcrafted imperfections. Sunlight, heat, humidity, smoke, moisture, and environmental fluctuations may accelerate aging or damage.

8. Product and Design Limitations

Not every flower or bouquet component can be included. Selection may be limited by product dimensions, flower size, condition, structural fragility, safety, design balance, or compatibility with the preservation method.

Unless expressly listed in the Order, no specific flower, bloom count, placement, orientation, ribbon, lace, charm, photograph, or keepsake is guaranteed to appear in the finished piece.

9. Customer-Supplied Keepsakes and Irreplaceable Items

Customer-supplied photographs, invitations, paper goods, jewelry, charms, fabric, ribbon, lace, memorial items, and other objects may react unpredictably to moisture, heat, adhesives, pressure, preservation materials, or resin. They may discolor, wrinkle, become translucent, shift, stain, break, or otherwise change.

You submit these objects at your own risk and authorize reasonable handling needed to evaluate or incorporate them. Do not send the only irreplaceable original unless you accept the possibility of alteration, damage, or loss. When practical, send a high-quality duplicate instead.

Return of unused keepsakes is not guaranteed unless requested and accepted by us in writing before shipment to the studio. You are responsible for associated return-shipping costs.

10. Order Details and Customer Responsibility

You are responsible for reviewing the Order promptly, including product type, size, shape, frame or background selection, personalization, add-ons, event information, contact information, and shipping address. You must notify us in writing of any customer-entered or customer-approved error before preservation or production begins.

Submitting flowers does not change the product purchased. Verbal conversations, social-media messages, inspiration photographs, and special requests do not modify the Order unless Endless Florals accepts the change in writing.

This section does not excuse Endless Florals from providing the product and paid options actually stated in the Order.

11. Mockups, Design Approval, and Customer Response

When Endless Florals elects to provide a mockup or approval request, the mockup is an approximate design guide. It may not show exact depth, shadows, final colors, resin effects, minor spacing changes, or adjustments required during construction.

Your written approval authorizes us to proceed. Elements reasonably visible in an approved mockup cannot later serve as the sole basis for a refund or remake. We may make minor technical or compositional adjustments after approval when reasonably necessary for fit, stability, preservation, or design balance.

You must respond to an approval request within 14 calendar days. We may send one or more reminders. If no response is received, the Order may be paused and its timeline extended. After written notice, we may also proceed using the Order details and our reasonable artistic discretion when doing so is feasible and the requested choice is not essential to production.

If an essential decision is required and we cannot reasonably proceed without it, Section 22 applies.

12. Changes After Work Begins

Requested changes are not guaranteed after preservation, design, ordering of custom materials, or production has begun. If we agree to a change, you are responsible for any additional labor, material, shipping, vendor, or remake costs, and the estimated timeline may be extended.

We will obtain your written approval of any additional charge before performing the added work. A request to change the product does not cancel or replace the original Order unless we confirm that modification in writing.

13. Portfolio Images and Samples Are Not Guarantees

Website photographs, social-media posts, advertisements, samples, prior work, reviews, and inspiration images illustrate our general style and possible results only. They do not promise identical flower color, composition, clarity, dimensions, finish, background, framing, or overall appearance.

Lighting, camera settings, screens, filters, surrounding colors, and the unique condition of each bouquet may affect how examples appear.

14. Turnaround Time

All turnaround times are estimates, not guaranteed completion or delivery dates. Timing may change due to flower condition, drying time, curing conditions, studio volume, complexity, supply availability, customer response time, approved changes, carrier delays, emergencies, or other circumstances.

The estimated timeline begins only after we have received the flowers and all required information, payments, approvals, and customer-supplied materials. Any customer delay extends the timeline accordingly.

A delay alone does not entitle you to cancel, obtain a refund, or recover damages unless Endless Florals agrees otherwise in writing or applicable law requires it. We will communicate material delays when reasonably practicable.

15. When Preservation and Custom Work Begin

For purposes of these Terms, “preservation work has begun” when Endless Florals first performs any order-specific service or commits nonrecoverable resources for the Order, including intake and processing of flowers, disassembly, drying or preservation, color treatment, design work, preparation of custom materials, ordering a special product or frame, or production.

Because these services alter perishable and often irreplaceable materials and reserve studio capacity, they cannot ordinarily be undone or resold.

16. Cancellations, Refunds, and Company Cancellation

Before preservation work begins, a cancellation request may be approved subject to deduction of nonrefundable payment-processing fees, special-order costs, shipping charges, and other amounts already incurred, to the extent permitted by law.

After preservation work begins, the Order is custom, in progress, and nonrefundable, except where Endless Florals agrees otherwise in writing or applicable law requires a refund or other remedy.

If an Order cannot proceed because submitted materials are unsuitable, customer information is missing, or the Customer does not meet an agreed responsibility, any refund or credit will be determined under Sections 4, 12, 15, and 22 rather than automatically including amounts attributable to completed services, committed materials, or nonrecoverable costs.

We may suspend or cancel an Order when safety, abusive or threatening conduct, repeated noncooperation, nonpayment, illegality, material misrepresentation, or another circumstance makes continued performance unreasonable. Any refund or credit will be determined based on work completed, materials committed, and applicable law.

17. Notice of Problems and Opportunity to Correct

You must inspect the finished artwork promptly after delivery. Claims involving shipping damage must follow Section 21. For any claimed material error or workmanship problem not caused by shipping, you must contact us in writing within 7 calendar days after delivery and provide clear photographs and a description of the concern.

We may request additional photographs, video, packaging, or return of the piece for inspection. Do not alter, repair, discard, or ship the piece without our written instructions.

If Endless Florals determines that the delivered piece materially differs from the Order or has an objectively correctable workmanship problem, our primary opportunity to resolve the concern will be repair, correction, replacement, or another mutually agreed solution where reasonably possible. We will determine the appropriate method after considering the materials, artistic integrity, safety, cost, and feasibility.

No refund is automatic. This section does not restrict any nonwaivable consumer right or remedy.

18. Quality Control and Pre-Shipment Documentation

Before shipment, we inspect the finished piece for finish quality, curing, structural stability, cleanliness, and packaging readiness. We may photograph or record the completed artwork and packaging to document their condition before shipment.

Our internal inspection does not create a warranty beyond the express terms of this Agreement and does not eliminate the Customer’s duty to report qualifying issues within the applicable notice period.

19. Custom Artwork Acceptance and Artistic Disputes

By purchasing preservation services, you acknowledge that you are commissioning custom artwork involving natural materials, preservation variables, and artistic interpretation. You accept the risk that the result may differ from your personal expectations or preferences even when Endless Florals has delivered the product and customization choices stated in the Order and performed the work with reasonable care.

A claim based solely on artistic interpretation, aesthetic preference, natural flower changes, disclosed material characteristics, or an element reasonably visible in an approved mockup does not establish defective workmanship, breach of contract, or entitlement to reimbursement or damages.

This section does not apply when Endless Florals supplies a materially different product from the one stated in the Order or when a nonwaivable consumer right or remedy applies.

20. Force Majeure, Casualty Loss, and Events Beyond Our Control

Endless Florals is not liable for delay, inability to perform, loss, destruction, contamination, or damage to flowers, botanical materials, keepsakes, work in progress, or completed artwork resulting from events beyond our reasonable control.

These events may include accidental fire; fire caused by an unforeseeable electrical failure, faulty wiring, or equipment malfunction; wildfire; flood; storm; earthquake; severe weather; power or utility failure; theft; burglary; vandalism; government order; mandatory evacuation; emergency closure; war; terrorism; civil unrest; epidemic; pandemic; supply-chain interruption; carrier interruption; acts of God; or another casualty or circumstance beyond our reasonable control.

Because submitted materials may be unique, sentimental, and irreplaceable, you acknowledge the inherent risk of leaving them in our possession during preservation, storage, design, and production.

If such an event damages, destroys, or renders materials or artwork unusable, Endless Florals is not responsible for replacing the original flowers or keepsakes, recreating the bouquet, or compensating their sentimental, emotional, retail, or replacement value. Such an event does not automatically entitle you to a refund of amounts attributable to services performed, labor, used or committed materials, nonrecoverable costs, or storage before the event.

We may reasonably delay, suspend, modify, or cancel an affected Order. If performance becomes permanently impossible, we will determine whether any refund or credit is due after accounting for work performed, materials used or committed, amounts recoverable from insurance or third parties for the Customer’s property, and applicable law.

Nothing in this section excuses fraud, willful misconduct, gross negligence, or liability that cannot legally be waived or limited.

21. Shipping of Completed Artwork

Completed artwork is packaged using materials selected for fragile artwork. A signature may be required unless waived by Endless Florals in writing.

Once the package is tendered to the carrier, carrier-related risk—including delay, theft, misdelivery, and transit damage—is subject to the carrier’s terms and any available shipping protection. If a piece arrives damaged, you must:

  1. Notify us in writing within 48 hours of delivery;

  2. Retain all original packaging and the damaged item;

  3. Provide photographs of the exterior box, shipping label, interior packaging, and damage; and

  4. Cooperate with reasonable carrier-inspection or claim requirements.

Failure to do so may prevent or reduce recovery through the carrier. Endless Florals does not guarantee that a carrier will approve a claim. If a shipment is returned because of an incorrect address, failed delivery attempt, refusal, or failure to collect it, you are responsible for the cost of return, repackaging if needed, and reshipment.

22. Unresponsive Customers, Storage, and Abandoned Orders

You must keep your email, telephone number, and shipping address current and respond within the time stated in our written requests. Customer delay pauses the Order and extends all estimates.

If we cannot proceed or deliver because you have not provided a required approval, decision, payment, address, or other information, we may place the Order in storage. After at least two written contact attempts and 30 calendar days without the required response, we may charge a reasonable storage or handling fee that is disclosed before it accrues.

If you remain unresponsive for 90 calendar days after a final written notice, we may treat the Order and associated materials as abandoned to the fullest extent permitted by law. We may dispose of flowers or other perishable materials when reasonably necessary to prevent mold, contamination, pests, odor, or safety risks without waiting for that period.

Because California law may impose specific requirements concerning abandoned personal property, the abandonment, disposal, sale, or retention of finished artwork and nonperishable keepsakes will occur only as permitted by applicable law. Amounts previously paid are not refundable merely because an Order becomes delayed or abandoned through Customer nonresponse.

23. Address Changes and Delivery Information

You are responsible for providing a complete, accurate, and deliverable address and for updating it in writing before we create the outbound shipping label. An update is effective only after we confirm receipt.

Endless Florals is not responsible for loss, delay, return, or added cost caused by outdated, incomplete, or inaccurate customer-provided information.

24. Chargebacks and Payment Disputes

If you have a concern, you agree to contact Endless Florals and make a good-faith effort to resolve it before initiating a chargeback or payment dispute, when doing so is reasonably possible.

You authorize Endless Florals to provide the payment processor or financial institution with relevant records, including these Terms, the Order, payment records, communications, approvals, intake photographs, production records, completion photographs, tracking, and delivery confirmation.

Nothing in this section prevents you from exercising a legitimate right to dispute a charge or any other right that cannot legally be waived. A chargeback does not, by itself, cancel amounts validly owed under the Agreement.

25. No Time-Based Warranty; Care and Safety

Endless Florals does not provide a time-based warranty or longevity guarantee for natural flowers, resin clarity, color, petals, frames, glass, adhesives, or other components. Expected aging and characteristics disclosed in these Terms are not defects.

Preserved artwork is fragile, decorative, and not intended as a toy, food-contact item, cutting surface, or outdoor product. Keep it away from children, pets, direct sunlight, extreme temperatures, moisture, flame, and impact. Endless Florals is not liable for injury or damage caused by improper handling, misuse, dropping, unauthorized repair or alteration, or environmental exposure after delivery.

26. Excess Flowers and Studio Inventory

Not all flowers or botanical materials submitted will be used. Unless Endless Florals accepts a written return request before the materials arrive, excess or unused botanical materials will not be returned and become the property of Endless Florals upon receipt.

We may dispose of them or retain them as studio inventory for artistic work, practice, recreations, or other preservation projects. You waive any ownership claim to botanical materials not incorporated into the finished piece. This section does not transfer ownership of non-botanical personal keepsakes, which are governed by Sections 9 and 22.

27. Marketing and Photography Rights

Endless Florals may photograph or record bouquets, submitted botanical materials, the preservation process, and completed artwork. You grant us a perpetual, worldwide, royalty-free license to use those images or recordings in our portfolio, website, social media, advertising, educational content, and other promotional materials without additional compensation or approval.

We will not intentionally publish personal information beyond what appears on a submitted item without permission. If you do not want your artwork used publicly, you must request an exception in writing before production begins, and the exception is effective only if Endless Florals accepts it in writing.

28. Limitation of Liability

To the fullest extent permitted by law, Endless Florals’ total liability arising from or related to an Order will not exceed the amount actually paid to Endless Florals for that Order.

To the fullest extent permitted by law, Endless Florals is not liable for indirect, incidental, special, exemplary, or consequential damages; emotional distress; loss of use; sentimental or emotional value; the retail or replacement value of flowers or keepsakes; expected aging; damage after delivery; or carrier-caused loss or damage.

The limitations in these Terms do not apply to fraud, willful misconduct, gross negligence, or any liability or remedy that cannot legally be excluded or limited.

29. Good-Faith Dispute Resolution

Before filing a lawsuit, either party will give the other written notice describing the dispute and requested resolution and allow at least 30 calendar days for a good-faith attempt to resolve it, unless immediate action is reasonably necessary to preserve a legal right or meet a filing deadline.

The parties may mutually agree to voluntary mediation. These Terms do not require binding arbitration and do not prohibit either party from using small claims court or another court of competent jurisdiction.

30. Governing Law and Venue

These Terms and the Order are governed by California law, without regard to conflict-of-law rules. To the extent legally permitted, any court proceeding shall be brought in a court of competent jurisdiction in Placer County, California.

31. Entire Agreement; Written Changes; No Waiver

These Terms, the Order, and any written modification accepted by Endless Florals constitute the entire agreement concerning the Order and replace prior or contemporaneous discussions, representations, estimates, messages, or understandings concerning the same subject.

No oral statement modifies the Agreement. A waiver or modification is effective only if stated in writing by Endless Florals. A delay or failure to enforce a provision on one occasion does not waive the right to enforce it later.

32. Severability and Survival

If any provision of these Terms is held unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted or modified only as much as necessary, and the remaining provisions will continue in effect.

Provisions that by their nature should continue after completion, cancellation, or termination—including payment obligations, ownership of unused botanicals, image rights, liability limitations, dispute provisions, and governing law—will survive.

33. Electronic Communications, Signatures, and Acceptance

You consent to receive order-related communications electronically at the contact information you provide. Electronic approvals, signatures, checkbox acceptance, and purchase completion may serve as evidence of agreement to these Terms.

If these Terms conflict with a later written modification expressly accepted by Endless Florals for your Order, the later written modification controls only as to that specific conflict.


Customer Acknowledgment

By placing an order, I acknowledge that I have read and agree to these Terms; understand that floral preservation produces unique handcrafted artwork rather than an exact replica; accept the natural and disclosed risks affecting flowers, resin, and customer-supplied items; and understand the cancellation, refund, approval, shipping, remedy, and limitation-of-liability provisions.
